Welcome to Xtempo. This document governs your relationship with Xtempo, a software platform operated by ALQYMI, LLC (“we,” “us,” or “our”). By accessing or using our services, you agree to the following terms.

Part I: User Agreement & Terms of Service

1. Acceptance of Terms

By accessing Xtempo, you agree to comply with these terms, ensuring responsible use of our real estate exchange tools and resources. If you do not agree to these terms, you must cease use of the platform immediately.

2. Account Responsibilities

• Confidentiality: Users must maintain the confidentiality of their account information, including passwords and API keys.

• Liability for Use: You are solely responsible for all activities occurring under your account. You agree to notify ALQYMI, LLC immediately of any unauthorized use of your account.

• Accuracy of Data: You represent that all property and personal data provided is accurate to the best of your knowledge.

3. Service Availability & Maintenance

• “As-Is” Access: We strive to ensure continuous service but do not guarantee uninterrupted access.

• Downtime: Service may be temporarily unavailable due to scheduled maintenance, server updates, or unforeseen technical issues (force majeure). ALQYMI, LLC is not liable for any perceived loss resulting from platform downtime.

4. Intellectual Property

All content, features, mathematical algorithms, UI/UX design, and logos on Xtempo are protected by international intellectual property laws and are the exclusive property of ALQYMI, LLC. Users are granted a limited, non-transferable license to use the platform for its intended purpose; you may not reverse-engineer, decompile, or “scrape” our proprietary math or data structures.

5. Limitation of Liability

Xtempo is a tool for simulation and organization. ALQYMI, LLC is not liable for any indirect, incidental, special, or consequential damages—including but not limited to loss of profits, tax penalties, or failed real estate closings—arising from the use or inability to use our platform.

Part II: Privacy Policy

6. Information We Collect

To provide accurate exchange timing and tax math, we collect:

• Personal Identifiers: Name, email address, and contact details.

• Property Data: Values, basis, debt, and dates related to real estate assets.

• Financial Inputs: Information required for 1031 exchange simulations and tax estimates.

• Usage Data: IP addresses, browser types, and interaction logs.

7. How We Use Your Data

Your data is used strictly for:

• Generating the financial reports and timing schedules requested by you.

• Providing “Best Effort” calculations based on current tax rules.

• Facilitating user-initiated referrals to Wealth Management Advisors and Qualified Intermediaries.

8. Third-Party Disclosures & Referrals

• Separate Entities: Wealth Managers and Qualified Intermediaries (QIs) are separate legal entities from ALQYMI, LLC.

• Explicit Consent: We will never sell your data to third-party marketers. We only share identifiable data with professionals when you explicitly request a “Connection” or “Referral” through the platform.

• Compensation: As disclosed in our [Conflict of Interest Statement], ALQYMI, LLC may receive referral fees from these independent partners.

9. Data Security & Storage

• Encryption: We utilize industry-standard AES-256 encryption for data at rest and SSL/TLS for data in transit.

• Storage Limits: We retain data only as long as necessary to provide the service or as required by law. Users may request data deletion at any time by contacting [Insert Support Email].
